Scrutare
Scrutare is a platform for the operational due-diligence work. It structures the recurring tasks of a DD: managing Q&A lists, categorising documents, assessing risks, preparing closing reports. Scrutare is used by buy-side teams as well as by advising auditors and lawyers in the transaction context.
Due-diligence platform for structured company reviews.
Scrutare brings order to the operational phase of a due diligence. In every transaction, hundreds of Q&A items, thousands of documents and dozens of valuation decisions arise, which later have to be brought together in the closing memo. Scrutare keeps this work traceable, without DD teams drowning in email or struggling with unsorted file repositories.
For whom
The platform is aimed at buy-side DD teams from participation companies and family offices, at auditors in transaction-supporting mandates, and at lawyers with an M&A focus. It complements typical M&A workflow platforms such as Mergixa, which cover the entire transaction arc, with a deep operational layer for the actual review work.
What it does
- Modular Q&A packages for legal, financial, operational and tax DD areas
- Document tagging by DD category with versioning
- Risk scoring at item level with aggregation at area and overall level
- Standardised checklists with the option to adapt for sector-specific particularities
- Audit trail of all inputs, changes and accesses for later process documentation
- Exportable closing reports and IC memo templates
- Hosting in Switzerland, separated client layers without cross-deal data flow
Why it exists
In the DACH mid-market many DDs are still run with Excel lists, SharePoint repositories and parallel email threads. That works for small transactions but quickly becomes unmanageable with several DDs running in parallel, and is poorly reconstructable in the event of dispute. Scrutare is the structured alternative that brings process discipline into the everyday work of DD teams.
Status
Live in productive use. Extensions are guided by the feedback of active mandates and by new regulatory requirements in the DACH region.
